1. General

These General terms and conditions of sale shall apply to all purchase agreements concluded with Furnco AB. Any deviations there from shall be valid only when confirmed in writing by Furnco AB.

2. Quotations and Orders

Orders must be sent to order@furnco.se or faxed to +46 40 42 95 99. Quotations and orders are always subject to Furnco AB:s written confirmation and are not binding until such confirmation.

3. Delivery Terms

The terms of delivery are EX Works if not otherwise specified in quotation and confirmed by Furnco AB.

4. Prices

All prices are for Purchaser only and are only to be used in an agreement between Furnco AB and Purchaser. All prices are subject to change because of deviations in the following currencies EUR/USD or SEK/USD and when the deviation is ≥5%.

5. Payment

Unless otherwise agreed terms of payment shall be 30 days net. If the Purchaser fails to pay by the stipulated day, Furnco AB is entitled to interest from the day on which the payment was due at a rate of discount rate + 8 per cent per annum.

6. Title

All products shall remain the property of Furnco AB until paid for in full.

7. Delivery

Furnco AB has no liability for delays less than 14 days from the confirmed time of delivery. The purchaser may after 14 days after the confirmed time of delivery have a 5 per cent reduction of price if the delay is caused by Furnco.

8. WEEE – Waste Electric and Electronic Equipment

As an importer of electric and electrical equipment Furnco are required to be members of the national agency controlling recycling and handling of such products, in Sweden called Elkretsen. Purchasers of products from Furnco, outside of Sweden, are liable to recycle and handle waste including packaging material according to their respective national recycling directive.

9. Defects

If a defect resulting from faulty design, materials or workmanship by Furnco AB occurs, Furnco AB will at its option repair or replace the Product, reduce the price or take back the Product and refund the purchase price. Furnco AB has no liability for defects or costs exceeding the above mentioned.

10. Exclusion from Liabilities

Except as stated above Furnco AB is under no circumstances liable for any losses, injuries, damages whether direct, indirect, consequential or whatsoever caused by delay of delivery, defects, use of the Product or otherwise. If Furnco AB incurs liability towards any third party for damages caused by the Product the Purchaser shall indemnify, defend and hold Furnco AB harmless.

11. Force Majeure

Furnco AB is entitled to suspend performance of its obligations under the Purchase Agreement to the extent that such performance is impeded or made unreasonable onerous by any circumstances beyond the control of Furnco AB.

12. Disputes and Applicable Law

Any disputes, controversy or claim arising out or in connection to the Purchase Agreement including these Conditions shall be finally settled by arbitration in Stockholm in accordance with the Rules of Expedited Procedure of the Arbitration Institute of the Stockholm Chamber of Commerce. The Purchase Agreement including these Conditions shall be governed by the substantive Law of Sweden.
